● Client Responsibilities: You agree to provide accurate and complete information and to cooperate with us to enable the effective delivery of our Services.

2. Intellectual Property

● Our Content: All content on this website, including text, graphics, logos, and any materials provided as part of our Services (e.g., training guides, methodologies, reports), is the exclusive property of Numa Solutions Ltd or its licensors and is protected by copyright and other intellectual property laws.

● Your Licence: We grant you a limited, non-exclusive, non-transferable licence to use materials provided to you for your own internal business or personal use. You may not reproduce, distribute, modify, or create derivative works from our materials without our express prior written consent.

3. Payments, Fees & Charges

● Fees for our Services will be set out in the Service Agreement.

● All invoices are payable within the timeframe specified on the invoice (i.e. 30 days).

● We reserve the right to charge interest on any overdue amounts, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

● All fees are exclusive of VAT, which will be added where applicable.

4. Confidentiality

● Both parties agree to keep confidential all non-public information obtained during the provision of Services. This includes, but is not limited to, business strategies, financial information, client lists, and personal information.

● This obligation of confidentiality will survive the termination of our Service Agreement.

● We will not disclose your confidential information to any third party without your prior written consent, except where required by law.

5. Limitation of Liability

● Our Services, including coaching and mentoring, are provided to support and assist you. We do not make any guarantees regarding specific outcomes, results, or business success. You are solely responsible for the decisions you make and the actions you take based on our Services.

● To the fullest extent permitted by law, Numa Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of our Services.

● Our total liability to you for any claim arising out of or in connection with our Services or these Terms shall be limited to the total fees paid by you to us for the specific Services giving rise to the claim.

● Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
